These Terms of Use govern your access to Coach You 360, LLC’s website, digital products, the SEEN and Testing Season™ Assessment tools, and coaching services (collectively, the “Services”). Coach You 360, LLC is a Virginia-based company. By accessing or using any part of the Services, you agree to be bound by these Terms and the Privacy Policy. If you do not agree, you may not access or use the Services.

1. Eligibility and Acceptance

You must be at least 18 years old to use the Services unless explicitly stated otherwise. Your continued use of the Services constitutes acceptance of these Terms.

2. Scope of Services

  • Digital products and downloadable materials (guides, workbooks, worksheets)
  • SEEN and the Testing Season™ Assessment (web-based tools)
  • Coaching services, including The Repositioning Session and The Repositioning Build
  • AI-assisted insights and tools

All Services are provided for educational and informational purposes only and are non-clinical and non-therapeutic.

3. No Medical, Psychological, Legal, or Financial Advice

The Services do not provide medical, psychological, psychiatric, legal, or financial advice, diagnosis, or treatment. Information provided is educational and intended to support your own career decisions. You are solely responsible for interpreting and applying information. Consult qualified professionals for situation-specific advice.

4. Intellectual Property Rights

All content, materials, frameworks, systems, language, prompts, designs, graphics, text, video, and tools on our Services are owned by Coach You 360, LLC or used under license, and are protected by applicable intellectual property law. Some elements may include third-party or AI-assisted components, which remain subject to their original owner’s or provider’s terms where applicable. Protected assets include Coach You 360® and The Testing Season™, along with our original frameworks and content. Nothing in these Terms grants you ownership of any intellectual property.

5. License to Use (Not Ownership)

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your own personal or job-search use. This includes using purchased career materials, business resources, and any AI prompts we supply for their intended purpose.

You may not:

  • Copy, reproduce, distribute, or share our content with anyone who has not purchased or received it directly from us
  • Resell, sublicense, or commercialize our materials
  • Repackage our frameworks, worksheets, or prompts, or teach from them as your own
  • Use our content to train an AI model or automated system
  • Reverse engineer or extract system logic
  • Scrape, archive, or mass-download content
  • Remove copyright or trademark notices

Unauthorized use constitutes a material breach of these Terms.

6. AI-Assisted Features

Some Services include content generated or enhanced with artificial intelligence. AI-assisted outputs are provided for educational purposes only and may contain limitations or inaccuracies. AI outputs are not guarantees of accuracy or outcome. Coach You 360 is not responsible for decisions made based on AI-assisted content, and you remain responsible for your interpretations and actions.

7. Payments, Access, and Refund Policy

All sales of digital products and coaching services are final. No refunds will be issued once access has been granted, content has been delivered, or materials have been accessed, downloaded, or viewed. Coach You 360 reserves the right to offer refunds at its sole discretion in exceptional circumstances, but no refunds are guaranteed.

8. Suspension and Termination of Access

Coach You 360 reserves the right, at its sole discretion, to suspend or terminate your access to the Services without notice if you violate these Terms, misuse or distribute proprietary content, engage in abusive or unlawful behavior, attempt to exploit or reverse engineer systems, or infringe on intellectual property rights. Termination does not entitle you to a refund.

9. User Conduct

You agree to use the Services lawfully and respectfully. You may not interfere with system functionality, attempt unauthorized access, harass or threaten others, upload malicious code, or misrepresent your identity or affiliation.

10. Third-Party Services

The Services integrate with third-party platforms, including Gumroad, Stripe, Resend, Google’s scheduling tools, and the Lovable-built app (with a Supabase backend) behind SEEN and the Testing Season™ Assessment. Coach You 360 is not responsible for third-party content, policies, or practices. Your use of any third-party service is subject to its own terms and privacy policy.

11. International Users

Coach You 360 operates from the Commonwealth of Virginia, United States. If you access the Services from outside the U.S., you do so voluntarily and are responsible for compliance with local laws. Your data may be processed and stored in the United States.

12. Disclaimer of Warranties

The Services are provided “as is” and “as available.” Coach You 360 makes no warranties, express or implied, regarding accuracy, completeness, reliability, or suitability of the Services. We do not guarantee outcomes, results, or uninterrupted access.

13. Limitation of Liability

To the maximum extent permitted by law, Coach You 360, LLC shall not be liable for any direct, indirect, incidental, consequential, or special damages arising from or related to your use of the Services. Your sole remedy for dissatisfaction is to discontinue use.

14. Indemnification

You agree to indemnify and hold harmless Coach You 360, LLC from any claims, damages, losses, or expenses arising from your use of the Services or violation of these Terms.

15. Governing Law and Venue

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Virginia, United States, without regard to conflict-of-law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the state or federal courts located in Virginia, and you consent to the personal jurisdiction of those courts.

16. Modifications to Terms

Coach You 360 may update these Terms at any time. Changes take effect upon posting with an updated effective date. Continued use of the Services constitutes acceptance of the revised Terms.

17. Severability

If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect.
